Residua is governed as a Dutch not-for-profit foundation. Our structure is designed to be transparent, accountable, and to protect the scientific independence of every project the Institute hosts.

Legal form

Stichting Residua

The Institute is established as a stichting, a foundation under Netherlands law, operating under the name Residua Research Institute. As a not-for-profit, it has no shareholders and distributes no profit; all resources are directed to its research mission.

The foundation is governed by a board of the three founding directors, who hold equal standing. Day-to-day scientific leadership is exercised within each director's area of responsibility.

How decisions are made

Equal standing

The three founding directors form the board and each holds an equal vote. No discipline subordinates the others.

Ordinary decisions

Routine matters are decided by majority of the board, allowing the Institute to operate efficiently.

Major decisions

Fundamental matters, such as changes to the foundation's purpose, leadership, or major commitments, require unanimity.

Scientific independence

Protecting the integrity of research

European funders, including the European Research Council, expect a host institution to guarantee the scientific independence of its Principal Investigators. Residua's governance is built to provide that guarantee: the Institute commits to give grant-holders the autonomy to direct their research, manage their budgets, and publish their findings without interference.

The Institute maintains clear separation between its governance and the scientific conduct of individual projects.
